    The beginning of another error
Other companies might have learned something from the major failure of USX, but Triarc wasn't one of those companies. On April 24, 2008, the holding-company owner of the Arby's fast-food chain made a $2.3 billion offer to acquire Wendy's (NASDAQ: WEN  ) , then the third-largest burger franchise in the United States. Pam Thomas Farber, daughter of Wendy's founder Dave Thomas, expressed great dismay over the sale, telling The New York Times, "It's a very sad day for Wendy's, and our family," and adding that Dave Thomas "would not be amused" if he had been alive to hear the news.

Starbucks can number itself among the chains that have been picked on by McDonald’s. The leading fast-food company is in a salad war with Wendy’s Co. (NYSE: WEN), which has a menu item called “Garden Sensation Salads.” Wendy’s has put these up against the 10 salads that McDonald’s offers. Clearly the smaller company believes it cannot afford to be flanked.

Ford (NYSE: F  ) reported strong earnings in North America this past week, a third-quarter profit of $2.3 billion. That came as Ford's sales have been increasing, but there's a new challenge emerging as Ford keeps pushing to increase production to keep up with demand.

Though Chrysler, General Motors, and Ford (NYSE: F  ) have introduced bi-fuel versions of some of their most popular vehicles, such as the Ford CNG F-250 and F-350 Super Duty pickup truck models, Honda was the first car company to offer a light-duty vehicle running exclusively on natural gas in the U.S. market -- its Civic Natural Gas, formerly Civic GX.

Though the charge (similar to 1Q14 $1.3bn charge) isn recurring and thus results won be representative of ore underlying profitability we believe all OEMs [auto manufacturers like Ford Motor (F), General Motors and Toyota Motor(TM). ed.] should expect a more intense focus on quality and recalls (perhapsGeneral Motors more than most). So even if a recall charge can be considered part of the run-rate, in our view, it seems likely that warranty accruals may have to be raised negatively impacting future margins. As far as the stock, we believe General Motors was gaining some interest off of very low sentiment. This headline won help.General Motors is perhaps even more of a 2015 story at this point (with some easier comps now as well).

The Q1 2014 earnings report for troubled J.C. Penney Company, Inc (NYSE: JCP), a peer of other department store stocks like Kohl's Corporation (NYSE: KSS), The Bon-Ton Stores, Inc (NASDAQ: BONT) and Nordstrom, Inc (NYSE: JWN), is scheduled for after the market closes on Thursday. Aside from the J.C. Penney Company's earnings report, it should be said thatKohl's Corporation will report Q1 2014 when the market opens on Thursday; Nordstrom will report earnings after the market closes on Thursday; and The Bon-Ton Stores will report Q1 2014 earnings on Thursday, May 22nd before the market opens. However, all eyes will be on the J.C. Penney Company earnings report to see if there are any signs the company has turned itself around from the ill-fatedleadership of CEO Ron Johnsonwho ironically was also trying to turn things around/p>

Companies added fewer workers than projected in February, a sign that U.S. employers were waiting for a pickup in demand before boosting headcount, a private report based on payrolls showed today. The 139,000 increase in employment followed a revised 127,000 gain in January that was weaker than initially reported, the weakest two months since August-September 2012, according to the ADP Research Institute in Roseland, N.J. The median forecast of 39 economists surveyed by Bloomberg called for a 155,000 advance. Harsh winter weather conditions, which kept some shoppers away from stores and car dealerships, help explain why companies were hesitant to accelerate hiring at a more robust pace. Faster payroll growth that spurs bigger wage gains would help to boost the consumer purchases that make up almost 70 percent of the economy. "Employment was weak across a number of industries," Mark Zandi, chief economist at Moody's Analytics in West Chester, Pa., said in a statement. Moody's produces the figures with ADP (ADP). "Bad winter weather, especially in mid-month, weighed on payrolls. Job growth is expected to improve with warmer temperatures." Estimates in the Bloomberg survey of economists ranged from gains of 100,000 to 180,000 after a previously reported increase of 175,000 in January. Missing Mark ADP's numbers have missed the mark in tracking the government's jobs figures over the past couple of months. The group's initial estimates showed a 238,000 gain in employment for December followed by a 175,000 January increase. That compares with the Labor Department's initial estimate of an 87,000 gain in December private payrolls and a 142,000 increase in January. Stock-index futures were little changed after the report. The contract on the Standard & Poor's 500 index (^GSPC) expiring this month rose less than 0.1 percent to 1,872 at 9:06 a.m. in New York. Payrolls at goods-producing industries increased headcount by 19,000. Factories added 1,000 workers,

As for specific stocks, the Goldman analysts issued five ratings changes:

Upgrade CONSOL Energy to Buy given strong production growth at its E&P segment, improving cash flow from the coal business and potential for asset sales/restructuring to help realize its SOTP value. Downgrade Arch Coal to Sell due to high leverage, peak valuations and low free cash flow levels. Neutral Ratings on Cloud Peal Energy (CLD), Alpha Natural Resources (ANR) and Walt Energy (WLT): Goldman downgrade Cloud to a Neutral given a lower production outlook and a reduced PRB price forecast. The firm upgraded Alpha and Walt to Neutral from Sell, predicting that met coal prices have bottomed.

Arch Coal has fallen 5.7% to day to $4.26, followed by Cloud Pearl, down 3.4% to $14.68, and a 3% drop by Walt Energy to $14.10. Alpha Natural dropped 2.8% to $6.10. And CONSOL fell 0.9% to $33.46.

I always find it very interesting to see what long-term investors are selling in a given quarter. Kahn Brothers lightened up on many financials that have shot up and now trade above book value. The firm sold out of Flushing Financial (FFIC), TCF Financial (TCB) and Dime Community Bank (DCOM). Khan apparently shares my views on the large-cap drug stocks, easing up on both Pfizer (PFE) and Bristol Meyers (BMY) over the summer. Khan Brothers also sold the last of the Travelers shares (TRV) it has owned since 2008 at more than twice the purchase price.

The Dow Jones Industrial Average (DJINDICES: ^DJI  ) closed over 9,000 points for the first time in its history on April 6, 1998. The 9,033.23 close was reached largely on news of a merger between Citicorp -- now Citigroup (NYSE: C  ) -- and Dow component Travelers (NYSE: TRV  ) , the largest corporate tie-up in history to that time, defying the weakness in other, broader indexes. Travelers soared 21% on news of the deal, and non-component Citi rose 16%. The divergence between the Dow and other indexes prompted Charles Pradilla of Cowen to tell The New York Times that "this market is probably a little ahead of itself."

Headquartered in Manhattan, Citigroup is the third-largest bank in the U.S. in terms of total assets. While the company’s roots stretch back over two hundred years, Citigroup as we know it was formed in 1998 through the merger of bank Citicorp and financial conglomerate Travelers (TRV).

Travelers Inc. (TRV) , the only financial stock in the Dow reporting Tuesday, is expected to turn in earnings of $2.16 a share in the fourth quarter.
